Terms of Service
These Terms govern your use of Bizela. Please read them together with our Privacy Policy and Subscription & Billing Terms.

1. Acceptance of these Terms
Bizela ("Bizela", "we", "us") is an online invoice system available at https://bizela.co.za, a product operated by Bizela Technologies (Pty) Ltd, Registration No. 2026/714893/07, a private company registered in South Africa. By creating an account, creating a company in Bizela, or otherwise using the service, you agree to these Terms of Service ("Terms"). If you do not agree, please do not use Bizela.
Our Privacy Policy and Subscription & Billing Terms form part of these Terms.
2. Eligibility and authority to act for a business
Bizela is intended for businesses and the people who work for them. By using Bizela on behalf of a business you confirm that you are at least 18 years old and that you have the authority to bind that business to these Terms. The business is the "Customer" under these Terms and remains responsible for everything done under its company accounts.
3. What Bizela does
Bizela is a software and document-management tool. It lets a business record customers, create quotes and invoices, generate PDF documents, record payments it has received and (on Premium) produce customer statements. Bizela does not collect money from your customers, does not move funds, and is not a bank, payment processor or accounting firm.
4. Company accounts
Your Bizela account may contain one or more companies. Each company has its own records, settings, free allowance and subscription. People you invite to a company may see and work with that company's records according to the role you give them. You are responsible for who you add to a company and for removing people who should no longer have access.
5. Account security
Keep your password confidential and do not share your login. Tell us promptly at support@bizela.co.za if you believe your account has been accessed without permission. You are responsible for activity that takes place under your login until you notify us and we have had a reasonable opportunity to act.
6. Free plan
Every company in Bizela receives a free allowance of 5 quotes and 5 invoices. These two limits are independent of each other. Once a limit is reached, that company can no longer create new documents of that type until it upgrades to Premium. Existing records remain available. We may change the free allowance for new companies in future; we will not remove documents you have already created.
8. Permitted use
You may use Bizela for the lawful business purposes of the Customer: managing your own customers, quotes, invoices and payment records.
9. Prohibited and abusive use
- Using Bizela to issue false, misleading or fraudulent quotes, invoices or statements.
- Attempting to access another company's or another person's data, or to bypass access controls, plan limits or payment checks.
- Uploading malicious code, scraping the service, or placing unreasonable load on our systems.
- Using Bizela in breach of South African law or the rights of any third party.
- Reselling or white-labelling Bizela without our written agreement.
10. Your responsibility for information entered into Bizela
You decide what information you put into Bizela: your company details, VAT registration and rate, customers' details, line items, prices, discounts, payment terms and payments received. Bizela stores and calculates using that information; it does not check whether it is correct. You are responsible for the accuracy, completeness and lawfulness of the information you enter and for having the right to enter your customers' personal information.
11. Quotes and invoices created using Bizela
Quotes and invoices generated by Bizela are your business documents, issued by you to your customers. Bizela numbers documents sequentially per company and preserves issued documents and their numbers. Bizela does not verify that a document meets every legal or tax requirement that applies to your business, and does not guarantee that your customers will accept a quote or pay an invoice.
12. VAT and tax responsibility
You are responsible for deciding whether your business is VAT-registered, which VAT rate and VAT treatment apply, and whether your documents satisfy SARS and any other requirements. Bizela applies the VAT settings you choose and performs the arithmetic; it does not provide tax advice.
13. Payments recorded inside Bizela
Payments in Bizela are records you capture of money your customers have paid you (for example by cash, EFT or card). Bizela does not receive, hold or process these funds. Allocations, balances and statements are calculated from the records you capture. Reversals are recorded as separate entries so that history is preserved.
14. Premium subscription payments through PayFast
Premium subscriptions are paid by recurring card payment through PayFast, an independent South African payment service provider. Card details are entered on PayFast's pages and are handled by PayFast under its own terms and privacy policy. Bizela does not receive or store your full card number or CVV. Before you are taken to PayFast, Bizela shows you the company, plan, amount and frequency and asks you to authorise the recurring payment; that authorisation is recorded.
15. Third-party services
Bizela relies on third-party providers for hosting, database and file storage, authentication, email delivery and payment processing. We choose reputable providers and configure them carefully, but we do not control them and are not responsible for their acts or omissions beyond what the law requires.
16. Availability and maintenance
We aim to keep Bizela available at all times, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, provider outages, connectivity problems and events beyond our control may interrupt the service. Where reasonably possible we will give notice of planned maintenance. You should keep your own copies of important documents (for example by downloading PDFs).
17. Data preservation
Bizela is designed so that business records are not deleted merely because a subscription is cancelled, expires or a company returns to the Free plan. Issued documents, document numbers, payments, allocations and reversals are preserved. Premium-only actions become unavailable once a Premium entitlement ends; previously stored Premium settings may be kept for later reactivation.
18. Cancellation
You may cancel a Premium subscription at any time from the company's Subscription page. Cancellation stops future renewals; Premium access continues until the end of the period already paid for, after which Free-plan limits apply. Cancelling a subscription does not delete or close your Bizela account or the company. See the Subscription & Billing Terms for details.
19. Suspension and termination
We may suspend or restrict access to an account or company if we reasonably believe it is being used in breach of these Terms, unlawfully, or in a way that harms Bizela, other users or third parties, or where we are required to do so by law or a competent authority. Where practical we will notify you and give you an opportunity to respond. You may stop using Bizela at any time; contact support@bizela.co.za if you would like to close your account.
20. Intellectual property
Bizela, its software, design, name and logo belong to Bizela and its licensors. You receive a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. The content you enter, and the documents you generate from it, remain yours; you grant us the rights needed to store, process and display that content in order to provide the service.
21. Limitation of liability
To the extent permitted by South African law (including the Consumer Protection Act where it applies), Bizela is provided "as is" and we do not give warranties beyond those stated in these Terms. We are not liable for indirect, consequential or special loss, loss of profit, loss of business or loss of data arising from your use of, or inability to use, Bizela. Where liability cannot be excluded, our total liability for all claims arising in any 12-month period is limited to the subscription fees the Customer paid to Bizela for the affected company in that period. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for gross negligence or wilful misconduct.
22. No accounting, tax or legal advice
Bizela is a software tool. Nothing in the service, its documents, help text or support communications is accounting, tax or legal advice. Consult a qualified professional for advice on your business's obligations.
23. Changes to the service
We may improve, change or discontinue features of Bizela from time to time. We will not remove access to your existing records because of a feature change, and material changes that affect paid features will be communicated in advance where reasonably possible.
24. Changes to these Terms
We may update these Terms. The version and effective date are shown at the top of this page. Where a change is material we will give reasonable notice inside Bizela or by email. Continued use of Bizela after the effective date means you accept the updated Terms. Previous versions are retained for our records.
25. Governing law
These Terms are governed by the laws of the Republic of South Africa. You agree to the jurisdiction of the South African courts, without limiting any rights you may have to approach a consumer body, ombud or regulator.
